Terms of Service

1. Acceptance of Terms

By accessing or using AgentVault8.ai ("Service", "Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

AgentVault8.ai provides a just-in-time (JIT) credential management and access governance platform for AI agents and automated systems ("Agents"). The Service issues short-lived, scoped credentials through eight independent security layers including identity attestation, dynamic scoping, temporal logic, contextual shielding, human sponsor check from IGA, audit logging, secret redaction, and auto-revocation.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account at info@agentvault8.ai.

You may not share your account with others or create accounts by automated means. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malicious code, viruses, or other harmful software
• Attempt to gain unauthorised access to any system, network, or data
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service for any fraudulent or deceptive purpose
• Resell or sublicense the Service without our written consent
• Circumvent or attempt to circumvent the eight security layers

5. API Keys and Credentials

You are solely responsible for the security of any API keys, secrets, or credentials you register with the Service. AgentVault8.ai applies encryption at rest and in transit to all stored secrets, but you acknowledge that no system is completely infallible. You must not hardcode credentials in agent source code or expose them in version control.

6. Intellectual Property

All intellectual property rights in the Service — including software, trademarks, logos, documentation, and the AgentVault8.ai name — are owned by or licensed to us. Nothing in these Terms grants you any right to use our intellectual property other than as strictly necessary to use the Service.

You retain ownership of any data, agent configurations, or content you submit to the Service. By submitting content, you grant us a limited licence to store, process, and transmit it solely for the purpose of providing the Service.

7. Subscription and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account. Taxes may apply depending on your jurisdiction.

8. Availability and Uptime

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated in advance where practicable. We are not liable for downtime caused by events outside our reasonable control including third-party infrastructure failures, natural disasters, or government actions.

9. Limitation of Liability

To the maximum extent permitted by law, AgentVault8.ai and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless AgentVault8.ai and its affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time from the account settings page. We may suspend or terminate your account immediately if we believe you have violated these Terms or pose a security risk to the Service or other users. Upon termination, your right to access the Service ceases and we may delete your data in accordance with our data retention policy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
